Welcome to Carion. These Terms of Service ("Terms") govern your access to and use of our services and website at carion.group ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

The following definitions apply throughout these Terms:

  • "Authorized Users" means your employees, agents, or contractors who are authorized to access and use the Services on your behalf.
  • "Beta Services" means any experimental or pre-release features that we may offer for testing and evaluation purposes.
  • "Customer Data" means any data, content, or information that you or your Authorized Users submit to the Services.
  • "Order Form" means any purchase order, subscription agreement, or similar document that specifies the Services you have purchased.

3. Service Access and Use

Subject to your compliance with these Terms and payment of applicable fees, Carion grants you a limited, non-exclusive, non-transferable right to access and use the Services solely in accordance with these Terms and any applicable Order Form.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your Authorized Users comply with these Terms
  • Providing accurate and complete information when registering for the Services

4. Subscription and Fees

Fees for the Services are described in the applicable Order Form. Unless otherwise specified:

  • All fees are quoted in U.S. dollars and are non-refundable
  • Subscriptions automatically renew for equal successive periods unless either party provides written notice of non-renewal before the current term expires
  • Late payments may incur interest charges or result in suspension of Services
  • We may modify our pricing with reasonable notice before your next renewal period

5. License Restrictions

You agree not to, and will not permit any Authorized User or third party to:

  • Copy, modify, distribute, or sublicense the Services
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Remove or alter any proprietary notices, labels, or marks
  • Use the Services to develop a competing product or service
  • Access the Services to benchmark or evaluate them for competitive purposes
  • Use the Services in any manner that violates applicable laws or regulations
  • Interfere with or disrupt the integrity or performance of the Services

6. Data and Privacy

Carion processes personal information in accordance with our Privacy Policy. By using the Services, you represent and warrant that:

  • You have all necessary rights to provide Customer Data to Carion
  • Your provision of Customer Data does not violate any applicable laws or third-party rights
  • You have obtained all necessary consents for the processing of personal information

You grant Carion a limited, non-exclusive license to use Customer Data solely for the purpose of providing and improving the Services.

7. Intellectual Property

Carion and its licensors retain all right, title, and interest in and to the Services, including all related intellectual property rights. No rights are granted to you except as expressly set forth in these Terms.

You retain all rights to your Customer Data. We do not claim ownership of any content you submit to the Services.

8. Confidentiality

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes non-public technical, business, and financial information.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CARION DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Beta Services are provided for evaluation purposes only and may be discontinued at any time.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

CARION'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Carion and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your Customer Data

12. Term and Termination

These Terms remain in effect until terminated. Either party may terminate for material breach if the breach remains uncured for thirty (30) days after written notice.

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You may request a copy of your Customer Data within thirty (30) days
  • After the data retrieval period, we will delete your Customer Data in accordance with our data retention policies
  • All outstanding fees become immediately due and payable

13. Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your use of the Services, including export control laws, data protection laws, and anti-corruption laws.

14. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

15. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
  • Dispute Resolution: Any disputes arising from these Terms shall be resolved through binding arbitration in New York, NY.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Entire Agreement: These Terms, together with any Order Forms and the Privacy Policy, constitute the entire agreement between you and Carion regarding the Services.
